Terms of Service

Welcome to Tofte. These Terms of Service govern your access to and use of the Tofte website, applications, and services (the "Service") provided by [Entity name pending formation] ("we", "us", or "our"). By creating an account, using the Service, or processing a ticket purchase through an event page hosted on Tofte, you agree to these Terms. If you do not agree, do not use the Service.

Tofte is an event production platform. Organizers can manage rosters, schedules, sponsors, and brand assets, and generate event websites, slide decks, printed programs, social share kits, sponsor prospectuses, surveys, and ticketing pages. The features available to you depend on your subscription plan and the settings enabled by your workspace.

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. You must provide accurate information when you register and keep that information up to date. You may not share accounts or impersonate another person. If you suspect unauthorized access, notify us immediately at support@gettofte.com.

Tofte is offered on monthly and annual subscription plans. We offer a 30-day free trial for new workspaces. No payment information is required to start the trial.

Subscriptions renew at the end of each billing period unless you cancel before the renewal date. Monthly plans renew every month. Annual plans renew every year. You can cancel anytime by contacting us from your workspace settings. Cancellation takes effect at the end of the current billing period and you will not be invoiced again.

We accept payment by bank transfer, pay-by-bank, check, and invoice. We do not accept credit cards and we do not store card numbers. By subscribing, you agree to pay the fees for your plan against the invoices we issue, on the terms stated on the invoice. Fees are non-refundable except where required by law or as otherwise stated in these Terms.

Event organizers may use Tofte to sell tickets or collect free RSVPs for their events. Ticketing transactions are processed through third-party payment processors, which allow the organizer to receive payments directly into their own account. [Entity name pending formation] is the platform provider and is not the seller of tickets or the organizer of any event listed on the platform.

The organizer is solely responsible for their event, including its content, schedule, refund policy, cancellation, attendee communication, and compliance with applicable laws. If you purchase a ticket through a Tofte event page, any refund request must be directed to the event organizer. We may assist in facilitating refunds at the organizer's direction, but we are not obligated to refund ticket purchases ourselves.

You may not use the Service to violate any law, infringe intellectual property rights, distribute malware, send spam, harass others, or process payments for illegal goods or services. You may not attempt to interfere with the Service's security, performance, or availability. We may suspend or terminate accounts that violate these rules.

You retain ownership of the data and content you submit to the Service, including attendee lists, speaker bios, sponsor logos, event descriptions, and survey responses. You grant us a limited license to use that data solely to operate, improve, and support the Service for you. We will not sell your contact lists or event data to third parties.

Tofte, its software, designs, templates, and branding are owned by [Entity name pending formation] and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription. You may not copy, reverse-engineer, or resell the platform itself.

The Service integrates with third-party services such as payment processors, Google, and Cloudflare. Your use of those services is subject to their own terms and policies. We are not responsible for third-party service outages or changes.

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access or specific uptime. The Service may be temporarily unavailable for maintenance, upgrades, or reasons beyond our control. We will not be liable for any downtime.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or be error-free.

To the maximum extent permitted by law, [Entity name pending formation] will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid to us in the twelve months preceding the event giving rise to the claim.

You may cancel your subscription at any time. We may suspend or terminate your account if you breach these Terms, fail to pay when due, or if required by law. Upon termination, your right to use the Service ends, and we may delete your data after a reasonable retention period.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service before the changes take effect. Your continued use of the Service after the changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict of laws principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Minnesota.
